Terms of Service

1. Agreement

By connecting your Shopify store and using Companion ("the Service"), you agree to these Terms of Service. If you do not agree, do not use the Service. These terms form a binding contract between you and José Miguel Pires Fernandes ("Companion", "we", "us"), operating from Lisbon, Portugal.

2. The Service

Companion connects to your Shopify store via OAuth and delivers a weekly AI-generated performance digest to your email address. The digest summarises your store's key metrics and provides actionable insights generated by an AI model (Claude by Anthropic).

We provide the Service on an "as is" and "as available" basis. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Your account

• You must be the owner or authorised administrator of the Shopify store you connect
• You are responsible for maintaining the security of your Shopify account
• You must provide accurate contact information
• You may not use the Service for any unlawful purpose
• One Shopify store per subscription unless you purchase additional seats

4. Subscriptions and billing

Free trial

All plans include a 14-day free trial. Your card will not be charged until the trial ends. You may cancel at any time during the trial with no charge.

Paid plans

After the trial, subscriptions are billed monthly in advance. Prices are:

• Starter: €29/month
• Growth: €79/month
• Pro: €149/month

All prices exclude VAT where applicable. EU customers may be charged VAT at their local rate.

Cancellation

You may cancel your subscription at any time from your billing portal. Cancellation takes effect at the end of the current billing period. We do not offer refunds for partial months.

Failed payments

If a payment fails, we will retry automatically. After 3 failed attempts, your account will be suspended until payment is resolved.

5. Acceptable use

You agree not to:

• Use the Service to process data you are not authorised to access
• Attempt to reverse-engineer, scrape, or copy the Service
• Resell or white-label the Service without written permission
• Use the Service in a way that violates Shopify's Partner Program policies
• Submit false or misleading information
• Interfere with or disrupt the Service or its infrastructure

6. Data and privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described there.

You retain ownership of all data from your Shopify store. You grant us a limited, non-exclusive licence to access and process that data solely to provide the Service.

7. AI-generated content

The insights and recommendations in your weekly digest are generated by an AI model. They are provided for informational purposes only and do not constitute financial, business, or legal advice. You should not make significant business decisions based solely on AI-generated insights without independent verification.

We do not guarantee the accuracy, completeness, or fitness for purpose of any AI-generated content.

8. Limitation of liability

To the maximum extent permitted by law:

• Our total liability to you for any claim arising from use of the Service is limited to the amount you paid us in the 3 months preceding the claim
• We are not liable for any indirect, incidental, special, or consequential damages, including lost profits or business interruption
• We are not liable for decisions you make based on digest content
• We are not liable for any downtime, data loss, or service interruptions

9. Indemnification

You agree to indemnify and hold Companion harmless from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

10. Termination

We may suspend or terminate your account immediately if you violate these Terms, if we receive a valid legal order to do so, or if continued provision of the Service becomes impractical. You may terminate your account at any time by cancelling your subscription and emailing us to request data deletion.

11. Governing law

These Terms are governed by the laws of Portugal. Any disputes shall be subject to the exclusive jurisdiction of the courts of Lisbon, Portugal, except where mandatory consumer protection laws in your country of residence provide otherwise.

12. Changes to these Terms

We may update these Terms from time to time. We will notify you by email at least 14 days before material changes take effect. Continued use of the Service after that date constitutes acceptance of the updated Terms.
