1. Agreement
By connecting your Shopify store and using Companion ("the Service"), you agree to these Terms. If you do not agree, do not use the Service. These terms form a binding contract between you and José Miguel Pires Fernandes ("Companion", "we", "us"), operating from Lisbon, Portugal.
2. The Service
Companion connects to your Shopify store via OAuth and delivers a weekly AI-generated performance briefing to your email every Monday morning. The briefing summarises your store's key metrics and provides actionable insights generated by Claude (Anthropic).
We provide the Service on an "as is" and "as available" basis. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.
3. Your account
- You must be the owner or authorised administrator of the Shopify store you connect
- You are responsible for maintaining the security of your Shopify account
- You must provide accurate contact information
- You may not use the Service for any unlawful purpose
- One Shopify store per subscription
4. Subscriptions and billing
Free trial
All plans include a 14-day free trial. Your card will not be charged until the trial ends. You may cancel at any time during the trial with no charge.
Paid plan
After the trial, the subscription is billed monthly in advance at $11.99/mo. All prices exclude VAT where applicable.
Cancellation
Cancel anytime from your billing portal. Cancellation takes effect at the end of the current billing period. We do not offer refunds for partial months.
Failed payments
If a payment fails, we will retry automatically. After 3 failed attempts, your account will be suspended until payment is resolved.
5. Acceptable use
You agree not to:
- Use the Service to process data you are not authorised to access
- Attempt to reverse-engineer, scrape, or copy the Service
- Resell or white-label the Service without written permission
- Use the Service in a way that violates Shopify's Partner Program policies
- Interfere with or disrupt the Service or its infrastructure
6. Data and privacy
Your use of the Service is also governed by our Privacy Policy, incorporated into these Terms by reference. You retain ownership of all data from your Shopify store. You grant us a limited, non-exclusive licence to access and process that data solely to provide the Service.
7. AI-generated content
The insights in your briefing are generated by an AI model. They are provided for informational purposes only and do not constitute financial, business, or legal advice. We do not guarantee the accuracy or completeness of any AI-generated content.
8. Limitation of liability
- Our total liability to you is limited to the amount you paid us in the 3 months preceding the claim
- We are not liable for indirect, incidental, or consequential damages, including lost profits
- We are not liable for decisions you make based on briefing content
- We are not liable for downtime, data loss, or service interruptions
9. Indemnification
You agree to indemnify Companion from any claims, damages, or expenses arising from your use of the Service or your violation of these Terms.
10. Termination
We may suspend or terminate your account immediately if you violate these Terms or if we receive a valid legal order. You may terminate your account at any time by cancelling your subscription and emailing us to request data deletion.
11. Governing law
These Terms are governed by the laws of Portugal. Disputes shall be subject to the exclusive jurisdiction of the courts of Lisbon, except where mandatory consumer protection laws in your country provide otherwise.
12. Changes
We will notify you by email at least 14 days before material changes take effect. Continued use after that date constitutes acceptance.
